Wholesale Terms and Conditions
WHOLESALE TERMS & CONDITIONS
Kristim Enterprises Inc, DBA Tummy Temple ("Company")
Pricing & MAP. Company sets MAP (Minimum Advertised Price) at 80% of current SRP (Suggested Retail Price) as shown in the wholesale store. All products must list the full retail price and any discounting must be presented as discounting through specials, coupon codes, subscription discounts and the like. MAP applies to all public-facing advertising in any channel, market, or currency including websites, marketplaces, social media, print, and email. Actual point-of-sale price must meet MAP. Company may update SRP and MAP at any time without notice; updated MAP applies within 90 days. Violations may result in immediate account termination at Company's sole discretion; a written warning may be issued but is not guaranteed.
Authorized Channels. Reseller may only sell through channels approved in writing at account approval. Default approved channels are Reseller's physical business location and online domains stated in the wholesale application. Selling on any unapproved platform — including Amazon, eBay, Walmart Marketplace, and Faire — is grounds for immediate termination.
Brand & Claims. Reseller may only use Company-approved brand assets, product names, descriptions, and marketing content. No modifications to brand assets are permitted. All brand assets remain Company's exclusive intellectual property (IP). Reseller may never claim, imply, or suggest in any language, channel, or market that any Company product diagnoses, treats, cures, mitigates, or prevents any disease or medical condition. Only structure/function claims and wellness language explicitly provided in Company-approved materials are permitted. Violation of this section is grounds for immediate account termination.
Product Integrity. Reseller may not repackage, relabel, reformulate, rebrand, or alter Company products in any way. Products must be sold in original, unaltered condition. Reseller must store, handle, and transport products per label instructions and good storage practices (GSP). Reseller may not sell expired, damaged, or compromised product and must immediately quarantine and notify Company of any inventory believed to be damaged, adulterated, or out of specification. Reseller may not represent that any Company product holds any certification, approval, or endorsement not explicitly confirmed in writing by Company.
Adverse Events & Compliance. Reseller must report any customer complaint, adverse event, or product safety concern to Company in writing within 24 hours. Reseller must cooperate fully with any Company investigation, recall, or regulatory response. Reseller is solely responsible for compliance with all applicable laws and regulations in every market where it sells Company products, including import, labeling, registration, and advertising requirements. Company makes no representation that products are approved or compliant for sale in any jurisdiction outside the United States (US).
Orders, Payment & Shipping. All orders are subject to Company's written confirmation and minimum order requirements (MOR). Pricing is in USD (United States Dollar) and may be updated with 14 days' notice. Payment is due at time of order. All orders ship FOB (Free on Board) Company's facility; title, risk of loss, and all import duties, customs, and regulatory clearance pass to Reseller upon carrier handoff. Reseller must report any discrepancy, damage, or shortage within 5 business days of delivery; no claims are honored after this window.
Returns. Returns require prior written authorization and are subject to a 15% restocking fee unless the return is due to Company error or shipping damage. No returns on international orders unless product is confirmed defective at time of shipment.
Liability & Indemnification. Company warrants products meet quality specifications at time of shipment only; no further warranty is expressed or implied. Company's total liability is limited to the invoice value of the order in dispute; Company is not liable for indirect, consequential, or punitive damages under any circumstances. Any and all legal, regulatory, and financial consequences — including fines, penalties, legal fees, regulatory actions, and damages — arising from Reseller's unauthorized claims, medical claims, product misrepresentation, non-compliant use, improper storage, or misuse of Company brand are solely and exclusively Reseller's responsibility. Reseller shall fully indemnify, defend, and hold harmless Company and its officers, directors, employees, and agents from any such consequences.
Monitoring & Enforcement. Company monitors compliance globally and continuously without notice. Reseller must provide written confirmation of compliance within 5 business days upon request. Violation of any term may result in immediate account termination at Company's sole discretion. Termination does not relieve Reseller of indemnification obligations or liability for prior breaches.
Updates & Acceptance. Company may update these Terms at any time. Updates will be emailed to all wholesale customers at time of change. Continued purchasing constitutes acceptance of updated Terms regardless of whether the update email is received or read by Reseller.
Governing Law. These Terms and all activity between Reseller and Company are governed by the laws of Washington State, United States. All disputes shall be resolved in Washington State courts. International resellers consent to Washington State jurisdiction for any dispute arising from these Terms.
By submitting a wholesale application or placing a purchase order, Reseller agrees to all terms above in full.
